EXCLUSIVE RIGHTS/LIFETIME COMMERCIAL USE

The right to use the purchased music, [Song Title], produced by
Point of Attraction Sound (Giacomo Franzoso), is granted exclusively to the individual or company who purchases the license and is listed on the attached invoice as of the download date (referred to hereafter as "the licensee" or "you").

This exclusive license ensures that the purchased music will not be
licensed, sold, distributed, or otherwise made available to any other party outside of the licensee. The music is solely licensed for the licensee’s use, with full commercial and distribution rights under the conditions outlined below.

This license is non-transferable and may not be resold, sub-licensed, or transferred to another party without explicit permission from the licensor.

Lifetime License

• This is a one-time payment license. Once purchased, there are no renewal fees, no recurring payments, and no expiration date.
• The licensee retains permanent exclusive rights to the music for all permitted uses.

Fee

The total cost for this exclusive license is $USD 1650. This is a one-time payment, and no additional fees, royalties, or recurring charges are required. Upon payment, the licensee receives lifetime exclusive rights to the purchased music under the terms outlined in this agreement.

1. Authorized Uses of Licensed Music

The licensee has permission to use the purchased music for the following purposes, subject to compliance with all terms and conditions:

a. Spoken-Word Recordings

• The music may be used as background in any spoken-word project, including but not limited to:
  • Guided meditations
  • Audiobooks
  • ASMR content
  • Self-improvement or hypnosis recordings
  • Instructional or educational content
• Unlimited distribution across platforms, streaming services, and physical media is permitted.

b. Online Videos & Social Media Content

• The music may be used as background for videos hosted on:
• YouTube, Vimeo, and other video platforms 
  • Social media channels (Facebook, Instagram, TikTok, etc.)
  • Business or personal websites
• Monetization and unrestricted streaming are allowed without additional permissions.

c. Live Streaming & Virtual Events

• The music may be used in live streaming, webinars, video conferencing, and podcasts.
• Platforms include but are not limited to:
  • Zoom, Skype, Microsoft Teams
  • Facebook Live, Twitch, YouTube Live
• The licensee may use the music with or without narration during the live event.

d. Media Productions (Film, TV, Advertisements, etc.)

• The music may be incorporated into films, television programs, advertisements, and corporate videos for unlimited worldwide distribution.
• This includes:
  • Streaming platforms (Netflix, Amazon Prime, Hulu, etc.)
  • Broadcast and cable television
  • Movie theaters and independent film productions 
  • Online advertising and commercial campaigns
• No additional licensing fees or royalties are required.

e. Public Performances & Business Use

• The music may be used in commercial spaces such as:
  • Spas, yoga studios, fitness centers
  • Restaurants, hotels, wellness centers
  • Medical offices, therapy clinics, and corporate environments
• The licensee may use the music in an unlimited number of business locations owned by them.

f. Personalized Client Recordings

• Licensees may create and distribute custom audio recordings for clients.
• Common applications include:
  • Personalized hypnotherapy or meditation sessions
  • Custom relaxation or wellness recordings
  • Therapeutic soundscapes with added spoken content
• Clients receiving these recordings cannot resell or distribute the material independently.

g. Software Applications & Digital Products

• The music may be embedded in mobile apps, software, video games, and interactive experiences with the following conditions:
  • The music may be included as a background element in an app or game.
  • Standalone playback within the app is permitted.
  • The licensee may distribute the app with no limitations on downloads or users.

2. Exclusive Ownership & Usage Rights

• This license guarantees exclusivity, meaning the purchased music
  will not be available to any other party under any circumstances.
• The licensee is granted full commercial rights to use the music
  in any approved format, without additional royalties or licensing fees.
• The original copyright remains with the licensor, but the licensee
  holds exclusive usage rights for commercial applications.

3. Permitted Modifications

• The licensee may edit, modify, or adapt the music for their needs, including:
  • Looping, cutting, applying fade-ins/fade-outs
  • Merging with other tracks in a composition
  • Adjusting tempo, pitch, or format for compatibility with media 
• Derivative works are permitted, provided the music is not resold as a new standalone product.

4. No Royalty Obligations

• The licensee is not required to pay any additional fees, royalties,
  or commissions for the use of the music.
• Full monetization, sales, and unlimited distribution are included.

5. Credit Attribution (Required)

• Credit attribution is required and must be provided in the following format: “Music by Giacomo Franzoso, exclusively licensed through Point of Attraction Sound.”
• This credit must appear in:
  • Video descriptions (YouTube, Vimeo, etc.)
  • End credits in films and TV productions
  • Metadata for downloadable content

6. License Duration & Validity

• This license does not expire and remains valid indefinitely.
• The licensee retains exclusive rights as long as the terms of this agreement are upheld.

7. Transfer & Sub-Licensing Restrictions

• This license is granted exclusively to the purchaser and may
  not be transferred, resold, or shared.
• The license cannot be included in a music library or production
  library for third-party use.

8. Limited Warranty & Indemnification

• The licensor guarantees that the music is free of third-party claims and may be legally licensed for exclusive use.
• The licensee agrees to indemnify and hold the licensor harmless from any claims arising from misuse or unauthorized use of the licensed music.

9. Refund & License Termination Policy

• All purchases are final. Due to the nature of digital content,
  no refunds or exchanges will be provided once the music has been downloaded.
• This license will be immediately terminated if:
  • The licensee breaches any terms of this agreement.
  • The music is used in an unauthorized or illegal manner.

10. Publishing and Intellectual Property Rights

The Licensor, Giacomo Franzoso (Point of Attraction Sound), retains full copyright and ownership of both the master recordings and the underlying musical compositions associated with the licensed music. No ownership rights are transferred to the Licensee under this agreement.

The Licensee is granted only the rights of use as specifically outlined in this license. The Licensee may not register the music with any performing rights organization (PRO), claim authorship, or assert publishing rights over the music or its compositions.

Additionally, the Licensee may not use any associated trademarks, logos, album art, or imagery related to the Licensor without explicit written permission.

11. Public Availability and Platform Removal Terms

The licensed music is currently published on the official YouTube channel of Giacomo Franzoso (Point of Attraction Sound) and on the Insight Timer platform.

YouTube and Insight Timer do not allow users to purchase or download tracks with usage rights. They provide streaming and personal listening only. Therefore, the music will remain publicly available on these two platforms after the purchase of an Exclusive License, as they are considered essential to the Licensor’s promotional strategy, visibility, and ongoing monetization efforts.

In contrast, stock music and royalty-free platforms such as Pond5, AudioJungle, MotionArray, Envato Elements, Artlist, Epidemic Sound, Soundstripe, and similar services allow users to purchase licenses and acquire usage rights. 

To protect the exclusivity granted to the Licensee, the music will be removed from all such stock music platforms where it may currently be available, within 48 hours from the signing of this agreement.

12. License Validity and Acceptance

PLEASE NOTE that the validity of this license does not depend on the formal signing of the agreement by the Licensee.

Even if the Licensee has received the signed agreement and has yet to sign it or has forgotten, this license remains valid and in force, as it
expresses the mutually agreed terms of use.

By purchasing and using the licensed music, the Licensee automatically accepts and agrees to all the terms and conditions outlined in this agreement.

13. Prior Non-Exclusive Licensing

This track may have been previously licensed under a non-exclusive license to other parties before the Licensee obtained exclusive rights. However, as of the effective date of this agreement, no further non-exclusive licenses will be granted, ensuring that the Licensee holds the exclusive rights moving forward.
